These Terms and conditions (the "Terms") set forth the rights, obligations, and responsibilities about the websites, mobile apps, widgets, APIs, email, and other online products and services (collectively, the "Services") provided by Vortex Protocol Pte. Ltd. (the "Company").
By accessing and using the Services, the user of the Services (the "User") acknowledges that he/she has read and understood the Terms and the Privacy Policy and agrees to be bound by the Terms.
Users may use the Service only if they agree to enter into a binding contract with the Company and are not prohibited from using the Service under applicable law. User must be at least 13 years old to use the Services, and additional age restrictions may apply for some Services. In order to use VRTX, a User must be 18 years old or older, or at least the legal age to enter into a legally binding contract according to User's nationality, and at least the minimum age threshold required by the Mainnet to create a wallet.
If User agrees to the Terms and uses the Services on behalf of a company, organization, government, or other legal entity, User warrants that User has the authority to act on behalf of such entity and to bind it to the Terms. In such cases, the term "User" as used in the Terms refers to the applicable rights holder.
By registering the Wallet to use the VRTX, the VRTX User represents and warrants the following:
The Company's Privacy Policy describes how the Company treats information provided by Users when they access or use the Services. By using the Service, User consents to the collection and use of this information by Company and its affiliates as set forth in the Privacy Policy, including, but not limited to, the transfer of information domestically or internationally for the storage, processing and use of such information.
Users are responsible for all Content submitted, posted, or made available by Users on or through the Service. The Company does not endorse, support, represent, or warrant the completeness, truthfulness, accuracy, or reliability of any Content registered by Users or any opinions expressed through the Service.
Users understand that in the course of using the Service, they may be exposed to Content that they find offensive, harmful, inaccurate, or inappropriate in various ways, as well as false or deceptive. All Content is the sole responsibility of the person who posts it.
The Company has no obligation to screen, edit or monitor User's Content, but may remove User's Content in its sole discretion if it violates the Terms or the Content Policy, or if it causes or is likely to cause the User to incur liability to the Company.
User grants Company a non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, disclose, transmit, display or distribute Content by User throughout the world in any media or distribution method present or later developed. This license includes a sublicense to allow other companies, organizations, or individuals partnering with Company to curate, convert, translate, broadcast, distribute, and publish User's content.
Users agree that any ideas, suggestions, and feedback regarding the Services that User provides to Company are entirely voluntary, and that Company may use such ideas, suggestions, and feedback without any obligation to compensate User.
Users also agree that the Company may remove metadata associated with Users’ Content, and Users irrevocably waive any claims or rights of moral rights or attribution with respect to Users’ Content.
User represents and warrants that User has, or has obtained, all necessary rights, licenses, consents, permissions, authorizations, privileges, and/or entitlements to any Content that User submits, posts, or otherwise makes available on or through the Service to grant User all rights under the Terms ,and that such Content does not contain any material that is subject to copyright or other proprietary rights unless User has the necessary permissions or legal rights to post the material and grant the Company the aforementioned license.
The Services may contain content about advertisers, Company's affiliates, partners, or other third-party websites, products, or services that may be posted by Users ("Third-Party Content"). Third- Party Content is not controlled by Company, and Company neither warrants nor is responsible for the websites, products, or services of any third parties. Use of Third-Party Content is at User's sole risk, and User should make all necessary inquiries before proceeding with any transaction involving such Third-Party Content.
The Services may also contain sponsored Content or advertisements. The type, extent, and targeting of advertising may change, and User acknowledges and agrees that Company may display advertisement in connection with Content or information displayed within the Services, including User's Content.
If User conducts promotions in the course of using the Service, including its own contests or sweepstakes, the User shall be responsible for all such promotions, including their rules, eligibility requirements, and compliance with all applicable laws and regulations. For promotions that are not affiliated or contracted with the Company in advance, the Company shall be relieved of all liability, even if not stated. The User agrees to conduct promotions at its own risk.
The Users can use VRTX after creating a Wallet linked to their Account. The Account that created the Wallet cannot create additional Wallets, or disconnect and reconnect the existing Wallet with the Account.
The Wallets require information for use, such as a unique address and password. The Company does not store or manage information such as passwords and recovery phrases except for the address of the Wallet linked to the Account, and information the Company does not store or manage cannot be technically restored.
The scope of use of the Wallet includes storing, transferring, exchanging, and trading Digital Assets and using services within VRTX, and may be expanded through service updates. The Company does not guarantee the integrity of the Digital Assets in the process of storing, transferring, exchanging, and trading, and does not compensate for any losses that may occur. In addition, all Services may be suspended or changed at any time depending on the blockchain network, technology, environment, and various circumstances.
To the extent permitted, VRTX Users may use services such as interconversion between VOR and $VRTX acquired through activities within Vortex Gaming, or acquisition or purchase of SBT. A VRTX User may disclose certain SBT to other Members or, as the owner of a particular Wallet, disclose a list of his/her SBT holdings stored therein, depending on his/her Account settings.
VRTX users can transfer, exchange, and trade $VRTX ("$VRTX transactions") through the linked Mainnet, exchanges, and marketplaces, and may incur fees in the process. The Company does not directly intermediate $VRTX transactions between VRTX Users and shall not be liable in this regard.
The Company provides Users with search of changes, transfers, and transactions history of Digital Asset within and between Wallets through the VRTX tab within Vortex Gaming. However, the Company does not guarantee the completeness or integrity of such information.
When accessing or using Services, Users must comply with the Terms and all applicable laws, rules and regulations. In addition to compliance with the Terms and the Content Policy attached hereto, Users are prohibited from doing any of the following:
Vortex Gaming is a social community network where Users create Contents and communicate voluntarily. The use of such Content and community shall be within the scope of compliance with applicable laws and the Terms. Violation of such laws and the Terms may result in the removal of Content or restriction of Account use. By default, Users are prohibited from posting the following Content within the Services.
To the fullest extent permitted by applicable law, the Company may restrict access to or delete Content, deduct Points, or temporarily or permanently restrict the use of Account if it determines that User has not complied with the obligations set forth in the Terms, violated the Content Policy, or for various other reasons. With Account suspended, the User will not be able to use some features of the Services, such as uploading Content or accumulating and using Points.
In addition, if User posts Content or creates a nickname that infringes on the intellectual property rights or other proprietary rights of individuals or organizations, the Company may take arbitrary measures such as changing or deleting such Content at the request of the right holder.
Notwithstanding the foregoing, the Wallet created by the VRTX User can be operated independently through the linked blockchain network. However, when the use of the Account is temporarily or permanently restricted due to violation of the Terms, the use of Digital Assets in the Wallet may be restricted or prohibited, and the Company will not compensate for any losses that may occur.
The Company may restrict a User's use of VRTX, in whole or in part, if the User is not eligible to use the Services in accordance with Section 3 of the Terms or if the User breaches any of the representations and warranties relating to VRTX, or depending on the specific jurisdiction or region in which the Member is located.
The Company reserves the right to change or limit the scope of the User's use of VRTX at any time in its sole discretion.
In the event of such measures, the Company will endeavor to notify the User via Account or linked e-mail address, and if User believes that account use has been restricted due to an error, User may appeal through an inquiry e-mail. While User’s access is restricted, the Terms may remain in effect with respect to Sections 4 (Privacy) and 5 (Content) and Sections 7 (Disclaimers and Limitation of Liability), 8 (Indemnification), 9 (Governing Law and Jurisdiction), 10 (Modification and Renewal of the Terms), 11 (Additional Terms), and 12 (Miscellaneous).
User may terminate the Terms at any time and for any reason by deleting Account(withdrawing) and ceasing all use of the Services. In addition, if User does not use Account for a certain period of time, the Account may be deactivated (dormant or voluntarily terminated). Upon completion of the termination, User’s activity history through Account will be unlinked, and any Points redemption rights attributed to that Account will be canceled.
Notwithstanding the foregoing, the Wallet created by the VRTX User can be operated independently through the linked blockchain network and the provisions of the Terms relating to the use of VRTX may remain in effect. Upon termination of the Account, the Digital Assets in the Wallet may be vanished, and the Company shall not compensate for any losses that may occur.
After termination, the Terms may remain in effect for Sections 4 (Privacy) and 5 (Content) and for Sections 7 (Disclaimer and Limitation of Liability), 8 (Indemnification), 9 (Governing Law and Jurisdiction), 10 (Modification and Renewal of the Terms), 11 (Additional Terms), and 12 (Miscellaneous).

Nothing in the Terms is without prejudice to any legal rights User may have in the course of using the Services. Some countries, states, provinces or other jurisdictions do not allow the disclaimers and limitations of liability set forth in this section, so the following may not apply to User. However, in such jurisdictions, the following disclaimers and limitations of liability apply to the Company to the maximum extent permitted by law.
Users understand and agree that their access to and use of the Service or any Content is at their sole risk and is provided on an "as is" and "as available" basis. To the fullest extent permissible pursuant to applicable law, all warranties and conditions, expressed or implied, of merchantability, fitness for a particular purpose or non-infringement are disclaimed.
While the Company endeavors to ensure that User's access to and use of the Service are secure, the Company does not represent or warrant that the Service or its servers are free of harmful components. The Company Parties make no representations or warranties, and disclaim all responsibility and liability for any damage, loss of data or other harm that may result to User's computer system using the Service or accessing or viewing any Content, or for any deletion, failure to store or transmit, omission, or uninterrupted, secure or error-free performance of the Service. No advice or information, whether oral or written, obtained by the Company parties or through the services makes any representation or warranty if not expressly stated in the Terms.
In addition, the Company shall not be liable for any failure or delay in the Service caused by any unforeseeable circumstances beyond its control, such as of governmental action, terrorism, earthquake, fire, flood or other acts of God.
The Company Parties do not warrant the completeness, accuracy, availability, timeliness, security, or reliability with respect to the Service or the Content, and do not control, endorse, or assume responsibility for the Content available within the Services or linked to the Services, or the conduct of third parties or Users.
To the maximum extent permitted by applicable law, in no event will the Company Parties be liable for any incidental, indirect, special, punitive, consequential, or similar damages arising out of or in connection with the Service. Even if the Company Parties have been advised of the possibility of such damages under contract, statute, strict liability, or any other theory, the Company Parties shall not be liable for any damages arising from the Services or other features without a final judicial determination that such damages are the result of the Company's gross negligence, fraud, willful misconduct, or willful violation of law.
The aggregate liability of the Company Parties will not exceed the greater of (a) one hundred (100) U.S. dollars and (b) the amount paid by the User to the Company in the previous six 6 months for the Services giving rise to such claim.
The limitations set forth in this section apply to all liability on any basis, whether based on warranty, contract, statute, or tort, whether the Company Parties have been advised of the possibility of such damages, or even if a remedy set forth in the Terms is found to have failed its essential purpose.
The VRTX User is responsible for storing and managing all necessary information about his/her Wallet. The Company shall not bear any responsibility, including restoration, for any kind of problems that may arise due to the loss or leakage of such information.
The Company shall not be responsible for any transactions of Digital Assets by User. Due to the nature of transactions in the blockchain, User cannot cancel the transaction or get a refund of the Digital Assets after the transfer of the Digital Assets in accordance with the transaction of Digital Assets. In addition, the fees incurred in the transaction process shall be paid by each VRTX User in accordance with the fees specified by the third-party transaction intermediary platform.
VRTX users may be subject to taxes depending on country, place of residence, or nationality in the course of holding, trading, or using Digital Assets. VRTX users are responsible for reporting and paying such taxes, and the Company does not provide advice related to investment, legal or taxation of digital assets.
Unless prohibited by applicable law, User agrees to defend and indemnify the Company Parties against any third party claims or demands or all related liabilities, damages, losses and expenses arising out of or in connection with them.
User agrees that the Company reserves the right to control the defense of any matter subject to indemnification relating to use of the Services, violation of the Terms or applicable laws, or posting of Content. User agrees to cooperate with the Company in managing such claims.
The law applicable to the Terms is the law of the Republic of Singapore and the courts of the Republic of Singapore will have exclusive jurisdiction in case of any dispute.
The Company may change the Terms from time to time. In the event of any changes, the Company will post the revised Terms and update the effective date for the revised Terms. If there are changes that affect the rights or obligations of the parties, the Company provides 30 days’ notice of the changes via an in-service notification or by email associated with Account. By continuing to access or use the Service after the changes become effective, User shall be assumed to be bound by the changed Terms. If the User does not agree to be bound by any changes to the Terms, User must discontinue access to and the use of the Service or terminate Account before they become effective.
If any provision of these Terms is found to be invalid or unenforceable and is therefore limited or deleted, the other provisions will remain in full force and effect. In addition, the Company’s failure to enforce any particular right or provision set forth in the Terms will not be deemed a nullification or waiver of such right or provision.
Users may be required to agree to additional terms in order to use certain services or features. Any additional terms may be incorporated into and made a part of the Terms by attachment or reference, and in the event of any conflict between the Terms and the additional terms, the additional terms shall prevail.
