Tencent Acquires Kuro Games, Developer of "Ming Chao," as Subsidiary

Chinese media outlets such as Wangyi, TechWeb, and Game Grape reported on November 30th that Tencent acquired 51.4% of Kuro Games' shares, incorporating it as a subsidiary.

This is based on publicly available information registered on 'Qichacha,' a Chinese corporate investigation platform. According to the information, Hero Entertainment, which previously held 37% of Kuro Games' shares, sold them to a Tencent affiliate. Through this transaction between external shareholders, Guangxi Tencent Venture Capital Co., Ltd., a subsidiary of Tencent that already held shares in Kuro Games, additionally acquired 20% of the shares, and another investment subsidiary, Shenzhen Century Huixiang Science and Technology Co., Ltd., newly secured 17% of the shares, bringing Tencent's total stake in Kuro Games to 51.4%.

Following the announcement of this disclosure, Kuro Games mentioned future changes through an internal email. The internal email also expressed gratitude to Hero Entertainment for their past assistance, while mentioning that there had been several discussions with Tencent regarding the development of Kuro Games. In these discussions, Tencent decided to increase its investment in anticipation of Kuro Games' strategy, while adding that Tencent's acquisition of 51.4% of the shares through this transaction between external shareholders was unrelated to the decision-making of Kuro Games' management. Kuro Games also explained that "the autonomous management strategy will remain unchanged, and it will operate independently like Riot Games and Supercell."

Kuro Games is a developer founded in Guangzhou in 2017. In 2018, it attracted investment from several companies, including Hero Entertainment, and emerged as a dark horse in the subculture action RPG genre with the release of 'Punishing: Gray Raven' in 2019. In 2024, it released '鸣潮: Wuthering Waves' and successfully updated to version 1.4, demonstrating its capabilities in open-world RPG development and operation. Chinese media outlets such as Game Grape mentioned that Tencent had shown interest in subculture open-world games after the success of 'Genshin Impact,' and predicted that investment would be expanded into the live service of existing works and the next title known as 'Project NAMI' after the acquisition of Kuro Games' shares.
